1. Citation
These Regulations may be cited as the Trade >Unions Regulations.
2. Interpretation
In these Regulations, unless the context otherwise requires–
"Act" means the Trade Unions Act *;
"officer" means an officer of a trade union;
"Rules" means the rules of the Union.
3. Documents prescribed under the Act
(1) Every register, certificate, order, application and notice under the Act shall be kept, issued, made or given in the appropriate form set out in the First Schedule to these Regulations and shall comprise the particulars specified in such form.
(2) The number of copies to be submitted of any such application or notice, if more than one, shall be stated in the form of that application or notice set out in the First Schedule to these Regulations.
(3) Any authority or person having power to issue any certificate under the Act shall, on it being proved to his satisfaction that such certificate has been lost or destroyed and on payment of the prescribed fee, issue a duplicate of the certificate of the person entitled thereto.
4. Register
The particulars to be recorded in the register shall >be those specified in Form A in the First Schedule.>
5. Manner of >registration>
(1) The manner of registering a trade union shall be by entering in the register–
(a) the name of the trade union;
(b) the situation and postal address of its registered office;
(c) the titles and names of its officers;
(d) the date of registration.
(2) The manner of registering a change of name of a trade union shall be by deleting the name under which that trade union has been registered and substituting thereto the >new name.
6. Inspection and copies
(1) The register and any documents in connection therewith shall be open to inspection by the public, during the >hours during which the office of the Registrar is open to the >public and upon payment of the prescribed fee.>
(2) Copies of or extracts from the register or documents in the custody of the Registrar may be obtained >by any person giving reasonable notice to the Registrar and >upon payment of the prescribed fees.>
7. Form of >application for registration
Every application for registration of a trade union shall be made in the form set out in Form B in the First Schedule and shall be accompanied by two printed or typed copies of the Rules of the Constitution and trade union.
8. >Certificate of registration
The certificate of registration of a trade union issued by the Registrar shall be in the form set out in Form C in the First Schedule.
9. Notice of refusal to register
The Registrar shall notify the applicant the grounds of his refusal to register a trade union in the form set out in Form D in the First Schedule.
10. >Notice of >intention to >cancel >registration>
The notice of intention of the Registrar to cancel the registration of a registered trade union shall be in the form set out in Form E, in the First Schedule.
11. >Cancellation of registration
An order made by the Registrar cancelling the registration of a registered trade union shall be in the form set out in Form F in the First Schedule.
12. Notice of change of name
Every notice of change of name of a registered trade union shall be in the form set out in Form G in the First Schedule to these Regulations.
13. Registration of >change of name
The Registrar on registering the change of name >of a registered trade union shall issue to the trade union a >certificate of registration of change of name in the form set out in Form H in the First Schedule.>
14. >Refusal to register change >of name>
Where the Registrar refuses to register the change of name of a trade union he shall notify the trade union in the form set out in Form I in the First Schedule.
15. Ballot relating to >amalgamation or >federation>
The Registrar shall post a notice in English with a translation in Kiswahili giving–
(a) the reasons for proposed amalgamation or >federation;>
(b) the proposed conditions under which the amalgamation or federation will take place;
(c) the time and place at which the secret ballot will >be held,
in the registered office of the trade union and in every branch office at least in not less than fourteen days before a secret ballot relating to amalgamation or federation is held, and the notice shall remain so posted until the secret ballot is >concluded.
16. Ballot procedure
The procedure to be followed in taking the secret ballot shall be as follows:
(a) the ballot shall be conducted jointly by an officer of the trade union and a representative chosen by the members in accordance with procedure laid down in the Rules of the Union;
(b) >the persons responsible for conducting the ballot >shall be furnished with–>
(i) a list of the members entitled to vote thereat;
(ii) an adequate supply of ballot >papers in the form prescribed in >Forms J or K, whichever is >appropriate, in the First Schedule >and not marked in any way so as to identify the person voting; and>
(iii) a suitable ballot box fitted with a lock and key;
(c) arrangements shall be made to enable a concerned member, at places adjacent to the ballot box, to obtain a ballot paper and to mark it, "screened from observation", before depositing it in the box;
(d) the name of each member to whom a ballot paper is handed out shall be marked off in the list of concerned members by the person handing out the ballot box.
17. Certified results of ballot
(1) The person conducting the ballot shall examine the ballot paper and count the votes and a certificate of the results of the ballot shall be jointly signed by such person.
(2) The Certificate of the result of the ballot shall be in the form prescribed in Form L in the First Schedule.
(3) A signed copy of the certificate shall be–
(a) posted in the registered office of the trade >union and in every of its branch office for a period of not less than one week after the conclusion of the secret ballot; and>
(b) attached to the notice of amalgamation or federation sent to the Registrar in pursuance of subsection (4) of section 37 >of the Act, which notice shall be in the >form set out in Forms M or N in the First >Schedule, whichever is appropriate.>
18. Reference to >Registrar
In the event of disagreement as regards the interpretation or application of the provisions relating to amalgamation or federation or the procedure for taking a secret ballot, the matter shall be referred to the Registrar who may, if he thinks fit, nominate an officer appointed for the purpose of this Act to conduct the secret ballot.
19. Notice of >affiliation>
Every notice of affiliation of registered trade union shall be in the form set out in Form O in the First Schedule.
20. Notice of establishment >and dissolution >of a branch>
(1) Every notice of the establishment of a branch of a registered trade union shall be in the form set out in Form P in the First Schedule.
(2) Every notice of the dissolution of a branch of a >registered trade union shall be in the form set out in Form Q in the First Schedule.>
21. Notice of change of registered >office or address
Every notice of change of registered office or >registered postal address shall be in the form set out in Form >R in the First Schedule.>
22. Change of Rules
(1) When a registered trade union changes its Rules, a notice of such change shall be in the form set out in Form S, in the First Schedule, shall be sent to the Registrar.
(2) The certificate of registration of a change of Rules of a registered trade union shall be in the form set out in Form T in the First Schedule.
23. Notice of change of officers or trustees
Every notice of change of officers or trustees of a registered trade union shall be in the form set out in Form U in the First Schedule.
24. Notice of dissolution
(1) Every notice of the dissolution of registered >trade union shall be in the form set out in Form V in the First >Schedule.>
(2) Upon dissolution of a registered trade union all assets of the dissolved union shall be vested to the Registrar who shall deal with all other pending issues of the Union.
25. Approval of >auditor
The form of application for approval by the Registrar of a fit and proper person to audit the statement of accounts shall be in the form set out in Form W in the First Schedule and that person shall be registered by the National >Board of Accountants and Auditors and shall be of good >reputation.>
26. General statement
The general statement referred to in subsection (1) of section 68 of the Act, shall be in the form of and comprise the particulars specified in Form X in the First >Schedule, and shall be audited in the manner shown in the >form of the Auditor's Report.>
27. >Register of members and >receipts
(1) Every registered trade union shall keep a register of its members, in which shall be entered, the >following–>
(a) the name, address and occupation of each member;
(b) the date of admission of each member;
(c) the payments and date of such payments made by each member in respect of entrance fee, subscriptions or any other matter; and
(d) the date on which any member ceases to be a member.
(2) >On the making by a member of a trade union of >any payment in respect of which an entry in the register of members in required to be made under subregulation (1) of this regulation, a written receipt in the form set out in Form Y in the First Schedule, shall be given by an officer to that member.>
(3) If any registered trade union fails to keep a >register of its members is accordance with subregulation (1) or if the provisions of subregulation (2) of this regulation are >not complied with by the trade union or any officer or person acting or purporting to act as an officer thereof commits an offence and upon conviction is liable to a fine not exceeding fifty thousand shillings.>
(4) No officer or person shall be guilty of an offence under this subregulation if it shall appear to the court that any >contravention of the provisions of this regulation was >occasioned without the knowledge or connivance of that officer or person.>
28. Fees
The fees set out in the Second Schedule shall be >payable to the Registrar in respect of the several matters >specified therein.>
